EVENT PLANNING

1. Retainer
An initial retainer and a signed contract must be secured prior to any services being performed by Elle + Co. Event Design And Rental.

2. Contracted package
Includes all services described in selected package details reviewed and distributed to clients. Any additional services/products requested by the client incurred by Elle + Co. Event Design And Rental will be billed directly to client at cost. All services contracted cannot be deducted, but additional services can be added.

3. Expiration
Requested event date is valid 1-week post origination date; retainer must be paid to secure services and event date.

4. Provided Documentation
All documentation created and provided to client is owned and copy written by Elle + Co. Event Design And Rental and cannot be used or given to any other 3rd party.

5. Hotel Accommodations
Hotel accommodations (1 room with 2 double beds for 2 days or 2 rooms with 1 double bed for 2 days) are required within 10 – 15 miles of site in a safe location for all employees of Elle + Co. Event Design And Rental working the events for any events located further than 40 miles away.

6. Destination
For all events deemed as destination (taking place beyond 125 miles from studio), additional fees are applicable, such as round trip airfare, hotel stay for 4-5 days & 3-4 nights pending complexity, and car rentals from airport and back during the stay. All travel can be arranged by clients per specifications of Elle + Co. Event Design And Rental or arranged by Elle + Co. Event Design And Rental with agreement of payment invoiced.

7. Attire
All associates of Elle + Co. Event Design And Rental will wear proper attire, day of event.
Day of Management – A Lead Associate and team member of Elle + Co. Event Design And Rental who will be present and manage day of activities.

8. Liability
It is understood that Elle + Co. Event Design And Rental is only liable for services completed and provided by Elle + Co. Event Design And Rental and cannot be held liable for the services of other contracted vendors. It is understood that in no event shall Elle + Co. Event Design And Rental be liable for consequential damages of any kind.

9. Cancellation Policy
If event is canceled, no portion of the fees paid to Elle + Co. Event Design And Rental will be returned. If event is canceled less than 3 months before date, 2nd payment will be required to compensate for hours of service already rendered and loss of event date. If the event is postponed, services contracted can be applied to a new date if available (refer to Postponement Policy).

10. Postponement Policy
If event is postponed, all services will cease at time of notification of postponement if no determined new date is provided. Payment schedule will be determined and readjusted post new event date notification. If client requires services to resume, post new event date being established, second payment will be required at time of service re-start.

11. Responsibility
Elle + Co. Event Design And Rental is not responsible for Acts Of God, Natural Disasters, an Act Of Government such as A Declaration of National or Local Emergency, or Other Incidents Not within the control of the Elle + Co. Event Design And Rental, i.e. accident, death in the family, illness, pregnancy, or sudden tragic circumstance. In such a situation, Elle + Co. Event Design And Rental will obtain, upon approval of the client, a qualified professional replacement to fulfill Elle + Co. Event Design And Rental’s obligations under the contract, at no additional charge to the client.

12. Overtime
Additional unplanned and/or un-contracted services (such as, but not limited to, full redo of design, day of event extension of time, services outside of scope of agreement, management of non event day activities, etc) are considered overtime and will be billed with prior notification and consent at the rate of $130 per hour.

13. Costs
any purchased items on behalf of client for day of event or prior will be billed directly to client at cost of goods and mileage at $.52 per mile if extensive travel (beyond 25 miles) is required to be acquired.
Contracted Vendor and Payments
Any rentals and/or subcontracted vendors contracted on behalf of client will be paid in full to Elle + Co. Event Design And Rental directly at requested deadline. Proper notice will be provided per cost.

14. Damage or Loss of Accessories
Client agrees to exercise all due care in caring for, and preserving the property of Elle + Co. Event Design And Rental. Clients shall remain responsible for all loss or damage to rentals, up to and including actual replacement value for each missing or damaged item per cost.

15. Payment Schedule and Method
For your convenience, payments can be made online via HoneyBook.com using a valid credit card. Otherwise, payment is to be made by cash or check.
A retainer is due upon completion of the signed agreement for services. Remaining balance is due as indicated in the agreed upon schedule.

16. Attorney
If legal action is necessary to enforce the terms of this contract the prevailing party shall be entitled to reasonable attorney fees in additional to any other remedies to which that party might be legally entitled.

17. Appropriate Conduct/ Safe Working Environment:
The Client(s) expressly agree(s) to take best efforts to provide Elle + Co. Event Design And Rental and Provider's staff with safe and appropriate working conditions. In the event of circumstances deemed by either Elle + Co. Event Design And Rental or a bystander to present a threat or implied threat of injury or harm to Elle + Co. Event Design And Rental staff or equipment, the Elle + Co. Event Design And Rental reserves the right to cancel all services remaining under Agreement and leave the event. At the Elle + Co. Event Design And Rental’s discretion, the Elle + Co. Event Design And Rental may enact a three-strike policy. After the first offense, the Elle + Co. Event Design And Rental will make reasonable efforts to notify the Client(s) or a responsible party. If the Client(s) is/are able to respond to the threatening situation in a reasonable amount of time (maximum of 15 minutes), Elle + Co. Event Design And Rental shall resume work in accordance with the original terms of Agreement. If the threatening behavior occurs for a second time, the Client(s) will agree to remove the offending person for the remainder of the event. If the behavior occurs a third time, the Elle + Co. Event Design And Rental will immediately leave the event. If the Elle + Co. Event Design And Rental leaves the event early due to any offending behavior, the Client(s) expressly agree to relieve and hold Elle + Co. Event Design And Rental harmless as a result of incomplete event coverage, or for a lapse in the quality of the Elle + Co. Event Design And Rental work, and the Client(s) shall be responsible for payment in full.

18. Non Event:
The Client(s) expressly agree(s) to take best efforts to provide Elle + Co. Event Design And Rental and Provider's staff with a safe and appropriate professional relationship. In the event of circumstances deemed to present a threat or implied threat of injury or unprofessional, harassing language or behavior to Elle + Co. Event Design And Rental staff, Elle + Co. Event Design And Rental will make reasonable efforts to notify the Client(s). If the Client(s) is/are able to respond to the threatening situation in a reasonable amount of time, Elle + Co. Event Design And Rental shall resume work in accordance with the original terms of Agreement. If the inappropriate behavior continues, the Client(s) will agree to relieve and hold Elle + Co. Event Design And Rental harmless as a result of incomplete services under Agreement, or for a lapse in the quality of the Elle + Co. Event Design And Rental’s work. The Client(s) shall be responsible for payment in full, regardless of whether the situation is resolved or whether Elle + Co. Event Design And Rental resumes work detailed in Agreement.


EVENT RENTALS

1. Late Return
If Renter returns the rental items to Elle + Co. Event Design And Rental after the time and date the rental period ends, Renter will pay Elle + Co. Event Design And Rental a rental charge of $ late return penalty cost per day for each day or partial day beyond the end of the rental period until the items are returned. Elle + Co. Event Design And Rental can subtract these rental charges from the security deposit.

2. Damage or Loss
Renter acknowledges receiving the Rental Item(s) in good condition, except as follows:

Renter will return the Rental Item(s) to Elle + Co. Event Design And Rental in good condition except as noted above. If the Rental Item(s) is damaged while in Renter's possession, Renter will be responsible for the cost of repair, up to the current value of the Rental Item(s). If the Rental Item(s) is lost while in Renter's possession, Renter will pay Elle + Co. Event Design And Rental its current value.

3. Value of Rental Item(s)
Elle + Co. Event Design And Rental and Renter agree that the current value of the Rental Item(s) is $.

4. Use of Rental Item(s)
Renter acknowledges that use of the Rental Item(s) creates some risk of personal injury to Renter and third parties, as well as a risk of damage to property, and Renter expressly assumes that risk. Renter therefore agrees to use the Rental Item(s) safely and only in the manner for which it is intended to be used. Elle + Co. Event Design And Rental is not responsible for any personal injury or property damage resulting from Renter's misuse, unsafe use, or reckless use of the Rental Item(s). Renter will indemnify and defend Elle + Co. Event Design And Rental from and against any injury or damage claims arising out of Renter's misuse, unsafe use, or reckless use of the Rental Item(s).

5. Entire Agreement
This is the entire agreement between the parties. It replaces and supersedes any and all oral agreements between the parties, as well as any prior writings.

13. Successors and Assignees
Agreement binds and benefits the heirs, successors, and assignees of the parties.

6. Notices
All notices must be in writing. A notice may be delivered to a party at the address that follows a party's signature or to a new address that a party designates in writing. A notice may be delivered:
(1) in person
(2) by certified mail, or
(3) by overnight courier.

7. Governing Law
Agreement will be governed by and construed in accordance with the laws of the state of.

8. Counterparts
Agreement may be signed by the parties in different counterparts and the signature pages combined will create a document binding on all parties.

9. Modification
Agreement may be modified only by a written agreement signed by all the parties.

10. Waiver
If one party waives any term or provision of Agreement at any time, that waiver will only be effective for the specific instance and specific purpose for which the waiver was given. If either party fails to exercise or delays exercising any of its rights or remedies under Agreement, that party retains the right to enforce that term or provision at a later time.

11. Severability
If any court determines that any provision of Agreement is invalid or unenforceable, any invalidity or unenforceability will affect only that provision and will not make any other provision of Agreement invalid or unenforceable and shall be modified, amended, or limited only to the extent necessary to render it valid and enforceable.


Elle + Co. Event Design And Rental retains rights to images taken on behalf of the customer. Where the customer has paid for photography, the company gives the customer permission to use such images freely. The customer gives the company permission to use images or video taken during the event in company marketing and advertising materials.
